Enstor Pipeline Holdings signed a purchase and sale agreement on Aug. 19 for midstream company Black Bear Transmission from funds advised by Basalt Infrastructure Partners.
Enstor Pipeline is an affiliate of Enstor Gas.
Black Bear's assets include nine transmission systems across the Southeast U.S. that are capable of moving 2.6 Bcf/d of natural gas. Its pipelines connect with 16 large long-haul transmission pipelines and storage facilities in Alabama, Arkansas, Louisiana, Mississippi, Missouri, Oklahoma and Tennessee.
Enstor did not disclose the price of the deal, which it expects to finalize before the end of 2025.
"The Black Bear system is contracted with investment-grade counterparties, which complements Enstor's existing contract portfolio, and represents a strategic downstream expansion, providing a portfolio of demand-driven, regulated 'last-mile' pipelines serving utilities, power generators, and other key end-use customers across the Southeast U.S.," said Enstor CEO Paul Bieniawski in a press release.
The deal further strengthens Enstor's footprint in the Southeast. In July, Enstor Gas announced it had received federal permit to build a new natural gas salt-dome storage facility in Mississippi.
